The purpose of the meeting is to seek member approval for a new Constitution to update the Memorandum and Articles of Association to a new type Constitution under the Companies Act 2014.
The resolution to be passed by the members is as follows –
That the regulation contained in the attached document and marked “A” for the purposes of identification, be and are hereby approved and adopted as the new Memorandum and Articles of Association of the Company in substitution and to the exclusion of all existing Memorandum and Articles of Association.
